1. Introduction

These Terms & Conditions (“Terms”) govern your access to and use of ScopeKit (“the Service”), a product of Neuralway Technologies Private Limited (“the Company,” “we,” “us,” or “our”), a company incorporated under the laws of India.

By accessing or using ScopeKit, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

ScopeKit is an AI-powered strategy intelligence platform that generates marketing strategy briefs from website URLs. The Service analyzes publicly available web content and produces structured strategy documents for use by agencies, freelancers, and marketing professionals.

3. Account Registration

To use ScopeKit, you must create an account by providing a valid email address and password. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must be at least 18 years of age to use the Service. By creating an account, you represent that you are at least 18 years old.

4. Subscription & Lifetime Deal Terms

ScopeKit offers Lifetime Deal (“LTD”) pricing plans. A Lifetime Deal grants you perpetual access to the Service at the tier purchased, subject to the following conditions:

• Solo Plan ($39 USD): Up to 10 strategy briefs per calendar month. Single user access.
• Team Plan ($79 USD): Up to 30 strategy briefs per calendar month. Up to 3 team member seats. Branded PDF export.
• Agency Plan ($149 USD): Unlimited strategy briefs. Unlimited team seats. White-label PDF export. API access. Custom branding.

“Lifetime” refers to the lifetime of the product. Should Neuralway Technologies discontinue ScopeKit, we will provide at least 90 days' notice and offer data export capabilities. Monthly brief limits reset on the first day of each calendar month.

5. Refund Policy

Refunds are available at our discretion based on usage. If you have questions about your purchase, contact zero@neuralway.ai.

6. Usage Limits & Fair Use

Each plan tier has defined monthly brief generation limits. Exceeding these limits will result in brief generation being paused until the next billing cycle. Automated bulk generation via scripts (outside the provided API for Agency plan users) is prohibited.

We reserve the right to suspend accounts that demonstrate abusive usage patterns, including but not limited to: scraping the Service itself, reselling generated content without attribution, or using the Service for illegal purposes.

7. API Usage Terms (Agency Plan)

Agency plan subscribers are granted access to the ScopeKit API. API usage is subject to the following:

• API keys are confidential and must not be shared publicly or embedded in client-side code.
• Rate limits apply: 60 requests per minute, 1,000 requests per hour. Contact support for higher limits.
• The API may be used to integrate ScopeKit functionality into your own products and services.
• We reserve the right to revoke API access for violations of these Terms.

8. White-Label Terms (Agency Plan)

Agency plan subscribers may customize generated briefs with their own branding, including logo, agency name, and color scheme. When using white-label features:

• You may present generated briefs to clients under your own brand.
• You may not claim the underlying AI technology as your own proprietary technology.
• The “Powered by ScopeKit” attribution in exported PDFs may be removed by Agency plan users.

9. Data Handling & Privacy

Your use of ScopeKit is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of data as described in that policy.

URLs submitted for analysis and generated briefs are stored in your account. We do not share your generated content with third parties. All data is stored securely on Amazon Web Services (AWS) infrastructure.

10. Intellectual Property

You retain ownership of any content you input into ScopeKit (URLs, configuration preferences). Generated strategy briefs are licensed to you for unlimited commercial use within your organization and for client deliverables.

ScopeKit, its name, logo, and underlying technology are the intellectual property of Neuralway Technologies Private Limited.

11. Limitation of Liability

ScopeKit is provided “as is” without warranties of any kind. Generated strategy briefs are AI-generated suggestions and should not be considered as professional marketing advice.

To the maximum extent permitted by law, Neuralway Technologies Pvt Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

Our total aggregate liability arising from or relating to these Terms or the Service shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim.

12. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms. Upon termination, your right to use the Service ceases immediately. You may request export of your data within 30 days of termination.

13. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated via email to the address associated with your account at least 15 days before they take effect. Continued use of the Service after changes become effective constitutes acceptance.

14. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.
